Legal Counsel (Maternity Leave starting June 2018)

Purpose of the job

Key focus: 

  • Marketing and on line regulation:  advertising, marketing  and trade marketing and promotions: key contact for marketing and trade marketing . Providing support on legal review and approval of all assets (advertising material, POCM, promotional materials, digital marketing reviews (est. assets in 12 months c.1500), having regard to all the codes and regulations (internal and external). 

  • Intellectual Property: management of local brands and support to specialties division. Management of agent in registering and maintaining key IP registrations  and reviewing litigious claims with external counsel
 
  • Governance & Compliance:
(a) support and lead of company secretary matters, in preparing all legal documentation required for mandatory legal filing against all 12 UK companies (includes but not limited to: officer appointments/ resignations/ board minutes for share transfers, accounts and key corporate decisions/ completion of annual returns.) 
(b) Lead on anti-corruption and related policies/ toolkits. Requirement for annual risk review, due diligence and hospitality compliance. 
(c) ensure implementation of the global, zone and UK policies through UK process initiatives: develop and maintain tools and processes to roll out across UK business (Code of Business Conduct)
(d) Prepare and deliver training modules for the UK population on required legal training topics (contracts, advertising and marketing, confidentiality, data protection)
(e) Prepare and maintain compliance plan, legal updates to the senior team, legislation tracker, regulatory updates (incl. ASA adjudications) and provide updates to key parts of the business for development and improvement.

  • Food law regulation: labelling and packaging: Legal review and sign-off of all local (non-innovation) packaging for the UK. Manage and maintain legal labelling checklist for pack change team needs (covering: UK regulatory and self regulatory (Portman incl. pledges) etc. changes. Monitor legal updates: interpretation and application of new legislation (includes EU review))

  • Contract management: Drafting and negotiating a wide range of commercial contracts. Includes: Lead responsibility for the preparation of legal contracts of all UK procurement contracts (including agency and brewery contracts). Provide legal support and sign-off to the procurement team on UK matters (legal drafting, negotiating (involving tactics and strategy), problem solving). Certain legal support to global led supplier contracts where UK law is the governing law. Procurement contracts include but not limited to: bespoke agency contracts,  general supply of goods and services (values range from £10k to £ 1 mill plus)
  • Litigation: Management and support to external counsel on small scale litigation matters relating to manufacturer liability. Provide support generally to Legal Director and Senior Legal Counsel on certain: governance and compliance topics: crisis management, risk management and prevention plan review (within the global structure and crisis management manual). Required management skills for certain projects. Additional ad hoc support required to specialties division and e-commerce relating to consumer and customer sales.

Principal accountabilities

  • Governance and compliance: provide legal reviews and updates on legislative and regulatory changes code compliance: develop and maintain certain tools and processes assist legal director with Anti-illicit trading processes and policy application (manage key processes, drive decision making).  Maintain risk management records and update and assist with the management of crisis management.

  • Governance and compliance: company secretarial role. Support to company secretary in managing and preparing all legal documentation required for mandatory legal filing against all 12 UK companies (includes UK trading co. AB InBev UK Limited).  Manage legal element of corporate restructuring projects. Ensure statutory books and contract management maintained (includes all mandatory filings (board minutes, annual returns, accounts, officer reviews).

  • Regulation: food law: packaging. Legal review and sign-off of all local (non-innovation) packaging for the UK. (c. 200 plus reviews plus promotional pack reviews of all UK and global brands sold in the UK).  Manage and maintain legal labelling checklist for pack change team needs (covering: UK regulatory and self regulatory (Portman incl. pledges) etc. changes. Monitor legal updates: interpretation and application of new legislation (includes EU review)).  Assist in design reviews and requirements to liaise with trading standards and other regulators from time to time.

  • Regulation: marketing, advertising and sales promotions. Review and sign-off in line with regulation, codes and policies all advertising/ trade marketing material: focus on digital (facebook posts and twitter feeds) and sales promotions (c.1500 assets plus per 12 months): Value: Brand equity.  Review Intellectual property request: prepare licence agreements (value: brand equity).  Liaise with regulators: Committee of Advertising Practise and appropriate pre-clearance bodies.  Liaise with marketing, trade marketing, corporate affairs and agencies.

  • Intellectual Property: management of local brands and support to specialties division. Management of agent in registering and maintaining key IP registrations  and reviewing litigious claims with external counsel


  • Contracts: Draft and negotiate a wide range of commercial contracts: focus in procurement, brewery ops, agency, event and sponsorship agreements (c. value £10k to £1 mill). Volume: 100 contracts plus. Note: includes bespoke contract creation. Develop and maintain precedent agreements (procurement generally)

  • Ad hoc: Small claims handling: handle court documentation for third party personal injury claims (c. £15k per claim) - c. 10 claims per annum. Consumer queries: legal advice and review of responses and processes. Support to legal director and senior legal counsel generally. Additional ad hoc support required to specialties division and e-commerce relating to consumer and customer sales.


About the candidate:
Qualifications, Skills and Experience required in the role

  • Law degree (2.2 with honours or higher) or GDL (pass or above with primary degree: 2.1 with honours or higher) (England and Wales). Legal Practice Course obtained (pass or above). Newly Qualified (E&W) solicitor - required but would consider experienced Legal execs/ paralegals.
  • Experience in: legal private practice, in-house legal or regulator advisory work required.
  • Experience with working with or for FMCG companies (preferred)
  • Experience in marketing advertising (including digital) (preferred)
  • Good communication and social skills (ability to communicate with a wide ranging audience on complex legal issues. Simplification, clarity are key)
  • Good organisation/ management skills (ability to prioritise a varied workload and meet demanding deadlines).
  • Experience in commercial contract drafting and negotiations. Strong head for strategic thinking: problem solver
